A. My Lawyers Misappropriated My Assets Known as “Aimster”
4. Beginning in or around November 2000, while Boies acted as my lawyer and negotiated as my lawyer with Bill Duker, who was an agent for Trans World (and in turn for the Labels and Studios) in the sale of the exclusive rights to my assets, Boies also secretly paid, or induced his family to pay, millions of dollars to Duker, by concealing from me his assignment to Duker of cash flows or “earn outs” from the sale of an accounting firm Legal & Scientific Analysis Group (“LSAG”), which Boies and his family controlled.
5. Boies’s concealed payments to Duker were made for no other purpose than to induce Duker to carry out Boies’s own self-dealing misappropriation of my assets in a series of sham transactions with fabricated entities, in order to subject such entities and my assets to the ultimate profit and control of Boies, Trans World and the Labels and Studios.
6. Boies further directed clients of Boies Schiller to pay litigation support fees to LSAG in order to increase the cash flows or “earn outs” he had assigned to Duker.
7. Boies then conspired with Trans World and its Chairman Robert Higgins – while simultaneously representing Trans World and its Chairman before this Court – to make additional payments to entities controlled by Duker.
8. As set forth in detail herein, Boies directed Duker and Trans World to use “kickbacks” paid to Trans World by the Labels and Studios, together with the LSAG “earn outs,” in a scheme to form and fund various entities, including entities named iDeal Ventures LLC, BuddyUSA Inc., AbovePeer Inc., Pi2 Products LLC, Pi2 Inc. and Pi3 Inc.
9. The “kickbacks” were and are paid to Trans World by the Labels and Studios in return for Trans World inflating revenues and profits of the Labels and Studios. These kickbacks typically take the form of sham “promotional funds” or “stock credits” for which no fair value consideration is received.
10. Using the Trans World kickbacks and the LSAG earn outs, Boies misappropriated my Aimster assets through a series of sham transactions and subjected my Aimster assets to the ultimate profit and control of Boies, Trans World and the Labels and Studios.
